Complying with international best practice

Ecobank believes that sound corporate governance is an important element in creating and sustaining shareholder value. The Group was the first banking institution in West Africa to embrace corporate governance principles as part of its corporate culture. The Board of Directors has adopted IFC principles and methodology to guide its corporate governance framework. Ecobank’s governance practices are also aligned to Basel Committee standards.

Adherence to corporate governance principles is articulated in a number of corporate documents. Ecobank’s Articles of Association and those of its subsidiaries define the respective roles of the Board of Directors, management and shareholders (including the protection of minority rights) in the administration of the Group. Ecobank adopts standard rules for the internal operation of the Board of Directors, a corporate governance charter, a code of conduct for directors and rules on business ethics for staff, all of which are aimed at ensuring transparency and accountability.
